AFRICAN COLLEGE LIMITED

AFRICAN COLLEGE LIMITED is registered with the Registrar of Companies in the in the Republic of Uganda as a Limited Liability Company.

This company was formed in 2006 under the names AFRICAN COLLEGE OF COMMERCE LIMITED to own African College of Commerce which was established in 1986. Since 2010, the company name has been changed to read AFRICAN COLLEGE LIMITED.

In its Memorandum and Articles of Association, the objectives of African College Limited are as below:-

  1. The name of the Company is AFRICAN COLLEGE LIMITED.
  2. The Registered office of the company shall be situated in the Republic of Uganda.
  3. The objects for which the company is registered are:-
  1. To establish and operate an Educational Institution;
  2. To receive and administer gifts, offerings, grants, donations and other contributions for the work of developing African College Limited and such other school or schools, college or colleges and business that the company may have set up;
  3. To promote international strategies and cooperation through the study exchange, tours and research in an effort to improve on the education systems in Uganda;
  4. To affiliate any institution that may request to affiliate to African College Limited but measure to the standards laid down in the terms and conditions of affiliation, and to offer such services that may be requested;
  5. To devise, formulate, write, edit compile and produce all kinds of teaching aids and educational materials to increase awareness on fundamental broader areas that may from time be essential for the society to comprehend;
  6. To publish, print, translate or arrange for the publication, printing and translation of books and other educational materials together with any pamphlets, articles, newspapers, periodicals, books or leaflets that the company may think suitable or desirable for the promotion of its objects and cooperate with the promotion of import and export business generally;
  7. To establish and operate any other educational institutions, training in business, technical, vocational and other kinds of training that the college may deem efficient, convenient and necessary;
  8. To enhance, develop and equip the college with training materials through lectures, workshops, research, communication and other relevant means;
  9. To establish information communication technology ICT centers, electrical and electric print and media centers in order to harmonize moral, economic and social development;
  10. To affiliate to any university or any entity in Uganda or else where in the world for promoting the college’s goals;
  11. To do research, publish materials and own intellectual properties;
  12. To provide general consultancy services and to carry on business in information technology services, engineering services project management, advertising, procurement, communication technology, research and development and other related services;
  13. To contribute finances for purposes of the business development;
  14. To provide consultancy, expert, feasibility study, specialized and skilled personnel, or persons, companies, individuals engaged in or planning to be engaged in all kinds of business and give advisory and support services pertaining to the established company;
  15. To carry on the business of importers and exporters, wholesalers, retailers, manufacturers, representatives, distributors of types of merchandize, commission agents, general merchants of all types of goods;
  16. To carry on the business of general supply, food supplements and health products, manufacture, buy, sell, import and deal in commodities materials, article and things, of every description liable to be required in connection with general trade of the company or by customers of or persons having dealings with the company;
  17. To carry on the business producing, buying, selling either by wholesale or retail of various kinds of goods and merchandize including agricultural produce items;
  18. To carry on the business of clearing, forwarding agents of all types of goods and description and carriers of goods and passengers by road, rail, water or air, contractors, commission agents ,cargo superintendents, packers, haulers, ware housemen and store keepers;
  19. To own, hold, buy, sell, market, trade or otherwise deal in domestic and industrial electrical goods;
  20. To carry on business of general transporters, carriers of goods and passengers, either by road sea;
  21. To carry on the business as proprietors of restaurants, hotels, tea room, cafés and coffee shops;
  22. To carry on business of dealing in electronics, electrical, solar and power protection equipment, structural construction, renovation, plumbing, carpentry and suppliers of hardware materials and engineering tools of all kinds;
  23. To carry on the business of dealers in parts and spare parts for all machinery and equipment;
  24. To carry on the business of construction and to deal in all kinds of construction and building materials;
  25. To purchase, take upon, lease, hire and charter or otherwise acquire road vehicles of any size, type or carrying capacity and with or without one or more trailers thereto suitable for the carriage of goods and merchandise;
  26. To carry on all or any of the business of petrol and petroleum products;
  27. Purchase, acquires offices, workshops and garage for the repair of cars;
  28. To establish an investment for leading money, to grant or provide credit or financial accommodation to any person or company in any case in which such grant of provision is considered likely directly to further any of the objectives and interest of the company;
  29. To acquire, carry on the business of garage proprietors, omnibus, coach, motor carriage cab or vehicle manufacturers, dealers and repairers, body builders, dealers in motor cars and motorcycle and motor spare parts and accessories of all kinds whatsoever;
  30. To carry on the business of providing credit and savings, financiers and financial consultants, invest, guarantee, counter guarantee for any person or company for money borrowed and to charge or mortgage property for fulfillment of such obligations and guarantees;
  31. Carry on the business of construction, architects, home planners and contractors, import, export, retail, wholesale, building general construction and suppliers and general merchandize, renovation of building, supplying material and other construction works, building and all description production of all timer and steel furniture, dealing in all building material and equipment, technical fabrication of law cost materials and use, consultancy in general trade, consultancy in technical fields, farming activities and to all description;
  32. Buy, sell, manufacture, repair, convert, alter, let or hire and deal in machinery implements, rolling stock and hardware of all kinds and to carry on any other business manufacturing or otherwise, which may seem to the company capable of being conveniently carried on in connection with the above objects;
  33. To establish heating air conditioning, ventilation, sanitary water, media supply, sewage disposal, conveyor belts, remote central heating, sanitary facilities and technical installations for industrial complexes;
  34. To deal in silk, cotton, linen and other materials (whether raw or ginned), coffee, cocoa, tea and other agricultural products;
  35. To establish and carry on the business of quarry / mine and stone / mineral merchants and to buy, sell, shape, carve, polish, crush and prepare for market or use stone / minerals of all kinds and of works and buildings of all kinds in the construction of which stone /minerals are required;
  36. Establish and manage a wine industry /company for manufacturing, importing and selling of beers, alcoholic beverages, producing raw material for brewing and anything connected to the wine business;
  37. To own and manage land, buildings, estates and other property whether belonging to the company or not and to collect rents and income, and to lease the said lands, buildings;
  38. To acquire and undertake the whole or any part of the business good-will and assets of any person, firm, or company carrying on or proposing to carry on as part of the consideration for such acquisition to undertake all or any of the liabilities of such person, firm or company or to acquire an interest in amalgamation with, or enter into any arrangement for sharing profits, or for corporation or for limiting competition, or for mutual assistance with any such person, firm or company;
  39. To draw, make, accept, endorse, discount, negotiate, execute and issue, promissory notes, bills of exchange, bills of lading, script, warrants and other transferable or negotiable instrument;
  40. To enter into partnership or any other arrangement for sharing profits, union of co-operation, reciprocation in concerns or otherwise with any person or persons, firm or firms, or company or cooperation carrying on or engaged in or about to carry on or engaged in any business or transactions which the company is authorized to carry or which may seem to the company capable of being conveniently carried on in connection with the above or company’s property and / or whereby the company would be benefited;
  41. To remunerate any person, firm or company, rendering services to this company whether by cash payment or by the allotment to him or her or of them of shares or securities of the company credited as paid up in full or part or otherwise;
  42. To pay all or any expenses incurred in connection with the formation, promotion and incorporation of the company or to contract with any person, firm or company to pay the same and to pay commission to brokers and others for underwriting, placing, selling or guaranteeing the subscription of any shares, debentures of this company;
  43. To carry on the business of operating and managing theatres, music halls, ball rooms, cinema halls, shop proprietors, car hirers; conference organizers and generally to do any other thing or things that are necessary to conveniently and effectively carry on the above objects;
  44. To enter into agreement with Donors for the purpose of furthering the objectives of this company;
  45. To do all such other things as may be deemed incidental or conducive to the attainment of the above objects or any of them;
